General Terms of Sale

Article 1 — Purpose
These General Sales Terms supplement the General Terms of the ALaCarte.Direct Service and define the applicable financial terms.
Article 2 — Subscription
Subscription takes place online on alacarte.direct or through the signature of a purchase order. It constitutes acceptance of all the contractual documents listed in Article 2.2 of the General Terms.
Article 3 — Pricing
3.1 — Subscriptions
The prices in force are those displayed on alacarte.direct/pricing at the time of subscription or renewal. Prices are stated exclusive of tax; applicable VAT is added at the prevailing rate.
3.2 — Transaction Fees
For features involving collection of payments on behalf of the Customer (gift cards, click & collect, pay-at-table), ALCD takes a commission on each transaction. The applicable rate is the one in force at the time of the transaction, as displayed on alacarte.direct/pricing or defined in the signed contractual documents.
The commission is deducted by offset from the amounts collected before payout to the Customer. ALCD issues a commission invoice on a monthly basis.
3.3 — Payment Processor Fees
Fees charged by Stripe and/or GoCardless for processing transactions are borne by the Customer and deducted from the amounts paid out, unless otherwise provided.
Article 4 — Invoicing and Payment
4.1 — Subscriptions
Payment is made in advance by automatic debit (bank card or SEPA via GoCardless). Payment is made exclusively in euros.
The Customer expressly agrees to receive invoices electronically.
4.2 — Late Payment
In the event of failure to pay by the due date, and without prior formal notice:
- late payment penalties are due at a rate of 1.5 times the statutory interest rate in force
- a fixed recovery indemnity of €40 is due as of right (Article L.441-10 of the French Commercial Code)
- ALCD reserves the right to suspend the Service in accordance with Article 5
4.3 — Dispute
Any invoice dispute must be sent to [email protected] within one (1) month of issuance.
Article 5 — Suspension for Non-payment
In the event of non-payment, ALCD may suspend the Service after notification by email. Suspension does not release the Customer from payment of the sums owed. In the absence of settlement within three (3) months, ALCD may delete the Customer's data after notification.
Article 6 — Price Changes
ALCD reserves the right to modify its prices at contract renewal. The Customer is notified at least thirty (30) days in advance. If the new prices are less favourable, the Customer may terminate without penalty within 30 days of notification.
Article 7 — Right of Withdrawal
Pursuant to Articles L.221-18 et seq. of the French Consumer Code, Customers who are consumers benefit from a fourteen (14) day right of withdrawal from the date of subscription.
This right does not apply to services already performed (setup completed, data exported, features activated that have generated processing).
