SPECIFIC TERMS — Gift Cards

These specific terms supplement the General Terms of the ALaCarte.Direct Service. In the event of a contradiction, these terms prevail.
Article 1 — Service Description
The Gift Cards service allows the Customer to offer, through their ALaCarte.Direct page, digital gift cards of a defined amount, redeemable at their establishment.
Article 2 — ALCD's Role
ALCD provides the technical infrastructure for the creation, sale, payment and management of gift cards. ALCD acts as a collection agent within the meaning of Article 6 of the General Terms: amounts paid by buyers are collected via Stripe Connect in the name and on behalf of the Customer.
ALCD is neither seller nor issuer of the gift card. The sales contract is established directly between the Customer (restaurant) and the buyer.
Article 3 — Payout and Commission
Funds do not transit through ALCD's accounts. Stripe pays the net amount directly to the Customer's Stripe Connect account, after deduction of:
- the ALCD commission: 6 % on the standard plan, 3 % for Premium subscribers
- Stripe transaction fees
The ALCD commission is automatically withheld by Stripe before payout, through the Stripe Connect "application fee" mechanism. This operation is governed by the Stripe Connected Account Agreement accepted by the Customer when activating their Stripe account.
These rates are those in force on the publication date of this document; any change is notified in advance in accordance with Article 11 of the General Terms.
ALCD issues a monthly commission invoice to the Customer.
Article 4 — Validity and Expiry
The validity period of gift cards is defined by the Customer in the Service settings. ALCD reminds the Customer that the French Civil Code (Article 2224) provides for a general limitation period of five (5) years, applicable unless a sector-specific provision states otherwise.
The Customer is solely responsible for managing the validity and use of the gift cards they issue.
Article 5 — Refunds
Any refund request from a buyer is handled by the Customer, who assumes responsibility for it. The refund is made via Stripe from the Customer's available funds.
ALCD is not a party to disputes between the Customer and gift card buyers.
Article 6 — Customer's Tax Obligations
The Customer is solely responsible for their tax obligations related to the sale of gift cards, particularly with regard to VAT. ALCD draws the Customer's attention to the fact that single-use gift cards (redeemable at a single establishment, for services at the same VAT rate) are taxable at issuance.
Article 7 — End Customer Information
The Customer undertakes to clearly inform the buyer of the conditions of use of the gift card (validity, establishment, conditions of use, non-refundability where applicable), in accordance with the pre-contractual information obligations of the French Consumer Code.
